Agreement to Terms

By accessing and using the services of Vedatricks Technologies Private Limited ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

Services Description

Vedatricks Technologies provides technology solutions including but not limited to:

• Web development and design
• Mobile application development
• AI tools and automation solutions
• Workflow automation
• In-store and showroom management systems
• Healthcare and hospitality solutions
• Custom software development and integrations

Project Terms and Deliverables

Project Scope

Each project will have a defined scope documented in a project proposal or statement of work. Any changes to the project scope may result in additional charges and timeline adjustments.

Timelines

We strive to meet all agreed-upon deadlines. However, timelines are estimates and may be affected by factors including client feedback, content provision, and unforeseen technical challenges.

Client Responsibilities

Clients are responsible for:

• Providing clear project requirements and timely feedback
• Supplying necessary content, images, and materials
• Ensuring content legality and ownership rights
• Making timely payments as per agreed terms
• Responding to communications within reasonable timeframes

Payment Terms

Pricing and Invoicing

All prices are quoted in Indian Rupees (INR) unless otherwise specified. Prices are subject to change but will be honored for quoted projects for 30 days.

Payment Schedule

• Standard Projects: 50% advance payment, 50% upon completion
• Large Projects: Milestone-based payments as agreed in the contract
• Quick Websites: 100% advance payment
• Recurring Services: Monthly/Annual billing as applicable

Late Payments

Late payments may result in project suspension. Interest may be charged on overdue amounts as permitted by law.

Refunds

Refund policies are detailed in our separate Refund Policy document. Generally, advance payments for commenced work are non-refundable except as specified in the Refund Policy.

Intellectual Property Rights

Client Content

You retain all rights to content you provide to us. By providing content, you grant us a license to use, modify, and display it as necessary to complete the project.

Developed Solutions

Upon full payment, you receive ownership of the custom-developed solution (code, designs specific to your project). However:

• We retain rights to reuse general methodologies, techniques, and non-custom components
• Third-party components (frameworks, libraries) remain subject to their respective licenses
• We reserve the right to showcase your project in our portfolio unless otherwise agreed

Vedatricks Property

All Vedatricks branding, proprietary tools, and methodologies remain our exclusive property.

Warranties and Disclaimers

Service Warranty

We warrant that services will be performed with professional care and skill. We will correct any errors or defects in our work at no additional charge within the specified warranty period.

Disclaimer

Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that:

• The services will be uninterrupted or error-free
• Results will meet specific business objectives
• All errors will be corrected

Limitation of Liability

To the maximum extent permitted by law, Vedatricks Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from:

• Use or inability to use our services
• Unauthorized access to your data
• Third-party actions or content

Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.

Support and Maintenance

Support terms vary by service package:

• Free Support Period: Included with each project as specified
• Extended Support: Available through separate maintenance agreements
• Emergency Support: Available 24/7 for critical issues (existing clients with support contracts)

Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as required by law or with your explicit consent.

Termination

By Client

You may terminate services by providing written notice. You will be charged for all work completed and expenses incurred up to the termination date.

By Vedatricks

We reserve the right to terminate services if:

• Payment terms are not met
• You breach these terms
• The project is deemed unfeasible or illegal

Indemnification

You agree to indemnify and hold Vedatricks Technologies harmless from any claims, damages, or expenses arising from:

• Your use of our services
• Content you provide
• Violation of these terms
• Infringement of third-party rights

WhatsApp Business Communications

By initiating a conversation with us on WhatsApp or providing your phone number with consent to receive WhatsApp messages, you agree to the following:

• You consent to receive service-related messages, project updates, and support communications via WhatsApp Business
• You will not receive promotional messages unless you have separately opted in to receive them
• You may opt out of WhatsApp communications at any time by sending "STOP" to our WhatsApp number or by contacting us at contact@vedatricks.com
• We will respond to your messages within our business hours (Mon-Fri 9AM-7PM, Sat 10AM-5PM IST); automated responses may be sent outside these hours with an option to escalate to a human agent
• Message and data rates from your mobile carrier may apply to WhatsApp communications
• We comply with the WhatsApp Business Policy and WhatsApp Business Terms of Service

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Vedatricks Technologies.
